Dialogue: The Essence of Legal Work and Professionalism Seen from the Front Lines of M&A -Representative Partner Kazuhiro Yanagida× Partner Mitsuhito Taki

M&A (mergers and acquisitions) is increasingly attracting attention as a key element in corporate growth strategies and restructuring. In this discussion, RepresentativePartner Kazuhiro Yanagida, who has handled numerous M&A transactions, and Partner Mitsuhito Taki, active on the front lines of practice, discuss the behind-the-scenes of deals, the strengths of our firm, and the appeal of M&A.

Diversifying M&A Transactions and Evolving Needs

Yanagida: I think "diversification" is definitely the keyword when it comes to recent M&A deal trends.
Taki: I absolutely agree. Previously, deals centered on large-scale mergers between listed companies or acquisitions of small and medium-sized enterprises by large corporations. Now, the types and scales of deals have broadened significantly, encompassing startup funding, business succession, and MBOs (Management Buyouts).
Yanagida: The industries involved are also diverse. Beyond traditional sectors like manufacturers, financial institutions, airlines, and medical device makers, we're now seeing investments in AI-related companies, CBDC (Central Bank Digital Currency) development firms leveraging blockchain technology, and even educational institutions and marketing companies. The phrase "across all industries" fits perfectly.
Taki: Overseas projects are also increasing. Collaborating with law firms in the US, Europe, and Asia, cross-border deals like M&A involving Chinese pharmaceutical companies, US medical device manufacturers, and Singaporean startups have become routine.

What It Means to Provide Legal Services That Anticipate Clients’ Needs

Yanagida: As a defining feature of our firm's services, I always emphasize the importance of anticipating clients’ needs Rather than passively fulfilling requested tasks, we proactively identify risks and challenges clients may not yet recognize. This is also part of our culture.
Taki: For example, when we identify risks during legal due diligence, we don't just say, "There's a risk here." We provide concrete proposals like, "Implementing this approach will minimize the risk." We believe it's crucial to stand in the client's shoes and offer advice not only from a purely legal perspective but also from a practical standpoint.
Yanagida: I hear some law firms adopt a stance of listing risks and saying, "The decision is up to the client." We are different. We examine risks from every angle and present the optimal choice for that specific client. That, to us, is professionalism.

The Appeal of M&A and the Rewards of Being a Lawyer

Taki: The appeal of M&A lies in the fact that each deal has a completely different story. In legal due diligence, we consider a wide range of laws, from the basics like corporate law, labor law, and intellectual property law to industry-specific regulations. To advance a deal, broad legal knowledge is required, including knowledge of merger control regulations and foreign exchange laws. Additionally, the real thrill in contract negotiations is the give-and-take with the other party. Yanagida: The negotiation room is truly exciting. Sometimes we negotiate early mornings, late nights, or even on holidays, but the sense of accomplishment when the deal closes is unparalleled. Taki: Negotiation partners aren't limited to the target company in an M&A deal. When using representation and warranty insurance, negotiations with the insurer are necessary. If loan agreements are involved, discussions with financial institutions are also required. Furthermore, with an eye toward PMI (Post Merger Integration), advice that encompasses the post-acquisition integration process is sometimes needed. Yanagida: Overcoming such complex cases also requires seamless teamwork. Led by Mr. Taki, our firm's attorneys are all professionals who combine expertise with practical skills. I truly feel this fully demonstrates the strength of our firm as a team.

Building the Future Together with Our Clients

Taki: M&A is not merely a "transaction"; it is a critical decision that shapes the client's future. While we feel the weight of responsibility in supporting this process, it is also a field offering immense fulfillment.
Yanagida: Thanks to our clients, we've been ranked highly in Nikkei's M&A rankings, which are determined by companies themselves. We see this as recognition of our firm's approach and track record.
Taki: Moving forward, we aim to continue delivering services that exceed our clients' expectations. We aspire to be more than just legal advisors; we want to be partners who contribute to their business success.
Yanagida: To achieve that, let's cherish an attitude that embraces change and never stops learning.
